How a single-person LLC compares with an LLC with several partners in Saudi Arabia on control, liability, governance and flexibility, and how to choose.
Since the Companies Law took effect in January 2023, a Saudi LLC can be owned by one person, individual or corporate. Choose a single-person LLC if one investor or one parent company will own the business outright and wants the simplest governance. Choose a multi-partner LLC when two or more owners genuinely share the business, and invest the time in articles that handle disagreement and exit.
Single-person LLC at a glance
An LLC owned by one shareholder, often a foreign parent company or an individual founder. Decisions reserved to shareholders are taken by that single owner, recorded in writing.
Multi-partner LLC at a glance
An LLC with two or more shareholders, such as co-founders, a foreign investor and a Saudi partner, or two corporate groups. Its articles and any shareholders agreement govern how the owners decide together.
Governance
Single-person LLC: Simple: the single owner decides, and decisions are documented as written resolutions.
Multi-partner LLC: Needs voting rules, quorum, reserved matters and deadlock provisions.
Setup effort
Single-person LLC: Standard articles often suffice, which keeps drafting light.
Multi-partner LLC: Articles and a shareholders agreement usually need negotiation.
Liability protection
Single-person LLC: Limited liability, but the separation between owner and company must be respected carefully, since there is no other shareholder to check it.
Multi-partner LLC: Limited liability, with each owner exposed only to its contribution in normal cases.
Adding owners later
Single-person LLC: Possible by transferring or issuing shares, turning it into a multi-partner LLC.
Multi-partner LLC: Existing pre-emption and consent rules apply to newcomers.
Tax profile
Single-person LLC: Follows the single owner: a foreign owner generally brings the company within income tax.
Multi-partner LLC: Mixed owners can mean both Zakat and income tax apply to their shares.
Exit
Single-person LLC: The owner sells all shares or closes the company alone.
Multi-partner LLC: Exit depends on the other owners and the transfer clauses.
When single-person llc wins
- A foreign parent setting up a wholly owned Saudi subsidiary.
- An individual founder who wants limited liability without partners.
- Businesses where speed of decision matters most.
- Structures where outside investors are not planned for now.
- Groups wanting a template they can repeat for several entities.
When multi-partner llc wins
- Co-founders who each contribute capital or work.
- A joint venture between a foreign group and a Saudi partner.
- Owners who want pre-emption and consent rights over transfers.
- Businesses where a minority investor brings strategic value.
How to decide
If one party will own and control the business, choose the single-person LLC and keep governance simple. If two or more parties share ownership in substance, choose the multi-partner LLC and treat the articles as the main risk document. Do not add a nominal second owner only because older rules required it.
Check with your adviser that your activity has no specific ownership conditions, and ask your tax adviser how the chosen ownership split will be treated by ZATCA. If partners are involved, have a lawyer walk you through what happens under the draft articles when the partners disagree.

Frequently Asked Questions
Can one person own an LLC in Saudi Arabia?
Yes. The Companies Law in force since January 2023 allows an LLC to be owned by a single shareholder, who may be an individual or a company, including a foreign investor in an open activity. The owner takes shareholder decisions alone, and they should be recorded in writing. Confirm any activity-specific conditions with MISA.
Is a single-person LLC the same as a sole proprietorship in Saudi Arabia?
No. A sole proprietorship, or establishment, has no separate legal personality, so the owner is personally responsible for its debts. A single-person LLC is a company with its own legal personality and limited liability. Foreign investors generally use company forms rather than establishments.
Can a foreign parent company be the sole owner of a Saudi LLC?
Yes, a foreign company can be the single shareholder of a Saudi LLC in activities open to foreign investment, after registering as an investor with MISA. The parent passes resolutions in place of a shareholder meeting, and those resolutions often need to be authenticated when filed. Check the requirements with your adviser.
Do I need a second shareholder for a Saudi company?
Not for an LLC or a Simplified Joint Stock Company, both of which can have a single shareholder under the Companies Law. Older guidance that recommends a nominal second shareholder dates from earlier rules. Add a second owner only if they genuinely share the business.
