The commercial registration steps with the Ministry of Commerce for a foreign-owned company, what each step needs and how to avoid resubmissions.
The commercial registration, or CR, is the record that brings your Saudi company into legal existence and lets it contract, open a bank account and register for tax. For a foreign-owned company it follows the investor registration with MISA and is filed through the Ministry of Commerce online services. The steps are straightforward when the MISA record, trade name and articles all tell the same story.
Before stage one
Have the MISA registration completed or in progress, the shareholder documents legalised and translated, and the structure memo signed before you open the CR application. The CR platform is fast when the inputs are ready and frustrating when they are being assembled during the application.
- Confirmed investor registration with MISA or a clear path to it in the same flow.
- Agreed legal form and final list of activity codes.
- Two or three trade name options that follow the naming rules.
- Identity details of managers and any board members.
- Draft articles approved by all shareholders.
Stage 1: Reserve the trade name
Search and reserve the trade name through the Ministry of Commerce services. The name must not conflict with existing names and must follow the rules on content and language.
- Deliverable: A reserved trade name with its reservation period noted.
- Owner: Adviser.
- Approval gate: The name is reserved before articles are finalised, because the articles repeat it.
Stage 2: Finalise and submit the articles
Complete the articles with the reserved name, activities, capital, management and share details, and submit them through the platform for all shareholders to approve.
- Deliverable: Articles approved electronically by the shareholders or their attorneys.
- Owner: Adviser with each shareholder.
- Approval gate: Every shareholder or attorney can access the platform and approve without delay.
Stage 3: Enter the company data
Enter managers, head office location, activities and capital so that the CR draft matches the articles and the MISA record.
- Deliverable: A complete CR application ready for payment.
- Owner: Adviser.
- Approval gate: Data checked against the MISA record line by line.
Stage 4: Pay and receive the CR
Pay the applicable charges shown on the platform and download the issued CR and the published articles.
- Deliverable: The CR certificate and published articles.
- Owner: Adviser.
- Approval gate: The CR shows the right form, activities and managers.
Stage 5: Complete linked registrations
Register the national address, arrange chamber membership where applicable, and begin the municipal licence for premises.
- Deliverable: Address, chamber record and licence application.
- Owner: General manager.
- Approval gate: The company has an official address that banks and authorities accept.
Stage 6: Brief head office
Send head office a pack with the CR, articles, translation and a list of renewal dates, so the parent records match the Saudi ones.
- Deliverable: A group record of the new entity.
- Owner: General manager.
- Approval gate: Head office confirms the entity is in its register of subsidiaries or branches.
Handovers between stages
Electronic approval of the articles is where foreign shareholders slow things down. Each shareholder or attorney needs access to the platform, and one missing approval holds the whole CR. Confirm access for every approver before the articles are submitted, and set a date by which all approvals are due.
How you know it is finished
The CR stage is complete when the certificate and articles are issued, match the MISA record, are translated for head office, and the linked address and licensing steps have started. At that point the entity exists legally, but it is not yet ready to trade until banking and tax registrations follow.

Frequently Asked Questions
What is a CR in Saudi Arabia?
A CR, or commercial registration, is the official record of a business issued by the Ministry of Commerce. It confirms the company legal form, name, activities, capital and managers. You need it to sign contracts in the company name, open a bank account, register with ZATCA and obtain most other licences.
Can a foreign company get a Saudi CR without registering with MISA?
For a foreign investor, the MISA investor registration is part of the path to commercial registration. Under the new Investment Law the two are designed to connect, but the investor step still comes first or alongside. Confirm the current sequence on the Invest Saudi portal, because implementing rules have been adjusting how the two link.
Does a Saudi commercial registration need to be renewed?
CR validity and confirmation requirements have changed in recent years, with the Ministry of Commerce moving toward an annual confirmation of data rather than the older renewal model. Check the current requirement for your entity on the ministry platform and add it to your compliance calendar, since lapsed records affect banking and licensing.
Can shareholders approve Saudi articles of association from abroad?
Shareholders often approve articles electronically through the Ministry of Commerce platform, which depends on having the required digital access. Where a shareholder cannot access the platform, an attorney holding a valid power of attorney may approve on their behalf. Ask your adviser early which route will work for each shareholder.
