Business Setup in Saudi Arabia for Foreigners: Step by Step

Business Setup in Saudi Arabia for Foreigners: Step by Step

The practical order for a foreign founder setting up a Saudi company, from choosing the activity to the first invoice, with the decision each stage needs.

A foreign founder can set up a Saudi company by working through a fixed chain: confirm the activity, register as an investor with MISA, obtain the commercial registration from the Ministry of Commerce, then complete the municipal, tax, banking and labour registrations. Most delays come from decisions that were left open, not from the government steps themselves.

Before stage one

Before you file anything, write down four decisions in a short memo and have the owners sign it. Advisers can execute a clear memo quickly. What they cannot do is choose your structure for you halfway through the filing, which is when founders most often change their minds.

  • What the company will actually sell, to whom, and whether customers will include government bodies.
  • Who the shareholders are and in what proportions, including any Saudi partner.
  • Where the company will operate from in its first year, even if only a serviced office.
  • Who will be general manager and whether that person will live in the Kingdom.

Stage 1: Scope the activity and the regulator

Match the business to activity descriptions and check whether a sector regulator is involved. Health, education, finance, media and some technical services each have their own approval track.

  • Deliverable: A list of proposed activities and any regulator approvals needed.
  • Owner: Founder with an adviser.
  • Approval gate: Regulator requirements are known before the legal form is fixed.

Stage 2: Choose the legal form

Decide between a limited liability company, a Simplified Joint Stock Company, a branch of your foreign company or another vehicle, based on liability, governance and future fundraising.

  • Deliverable: A signed structure memo and draft articles of association.
  • Owner: Shareholders.
  • Approval gate: The parent board has approved the form in a resolution that can be legalised.

Stage 3: Register the investor with MISA

Submit the investor registration online through Invest Saudi with the legalised parent documents or personal identity documents of individual founders.

  • Deliverable: Confirmed investor registration.
  • Owner: Authorised signatory or attorney.
  • Approval gate: Details match the documents exactly.

Stage 4: Reserve the trade name and file for the CR

Reserve a compliant trade name, finalise the articles and apply for commercial registration through the Ministry of Commerce online services.

  • Deliverable: An issued CR and published articles.
  • Owner: Adviser with the manager.
  • Approval gate: Activities on the CR cover everything you plan to invoice in year one.

Stage 5: Set the entity up to operate

Register the national address, join the chamber of commerce where required, obtain the municipal licence through Balady for any premises, and open a corporate bank account.

  • Deliverable: An entity with an address, premises licence and bank account.
  • Owner: General manager.
  • Approval gate: The bank has accepted the account and capital can be paid in.

Stage 6: Register for tax and people

Register with ZATCA for Zakat, income tax and VAT as applicable, and open the accounts needed to hire, including GOSI and Qiwa.

  • Deliverable: Tax registration numbers and employer accounts.
  • Owner: General manager with an accountant.
  • Approval gate: Invoicing is not started until the VAT position is settled.

Stage 7: Issue the first invoice

Sign the first customer contract in the entity name, invoice through a compliant e-invoicing solution and record the transaction in books kept from day one.

  • Deliverable: A first compliant invoice and a working accounting file.
  • Owner: Finance lead.
  • Approval gate: The contract, invoice and bank receipt all name the same legal entity.

Handovers between stages

The costly handover is between the adviser who forms the company and the manager who runs it. Formation advisers often stop at the CR, leaving bank, tax and labour steps half started. Agree in writing who owns each post-CR registration before the adviser invoices for the formation.

How you know it is finished

Setup is complete when the company can legally sign contracts, invoice, receive payment and hire in its own name, and when every registration has a renewal date recorded somewhere a successor would find it.

Frequently Asked Questions

How do I start a company in Saudi Arabia as a foreigner?

Confirm that your activity is open to foreign investment, choose a legal form, register as an investor with MISA, then obtain commercial registration from the Ministry of Commerce. After that, register the national address, municipal licence, bank account, ZATCA and employer accounts. A licensed adviser can run the filings, but the decisions on activity and structure are yours.

Do I need to live in Saudi Arabia to own a company there?

Shareholders do not usually need to live in the Kingdom, but someone must manage the company, sign documents and deal with banks and authorities. Many foreign-owned companies appoint a resident general manager for that reason. Check how residency and signing rights interact for your chosen form with your adviser before appointing someone.

Which is the first government step when setting up a Saudi company?

For a foreign investor, the first formal step is registration with MISA through the Invest Saudi portal, followed by the Ministry of Commerce commercial registration. In practice the true first step is internal: confirming your activity and legal form, because both are declared at MISA and changing them later means amending several records.
